Curated Community Ltd. Terms & Conditions

These Terms and Conditions, and any documents referred to herein, set out the terms and conditions which apply to: (i) all services provided by or on behalf of Curated Community to any individual or organisation; and (ii) any use our websites, https://curated-community.com and https://app.curated-community.com ("our websites").

By using our websites and engaging our services, you agree to be bound by, and to comply with, these Terms and Conditions (the "Terms").

"You" or "you" refers to you as a user of our services or as a user of our websites. As used herein, "Services" means our websites and any other service offered by Curated Community.

These Terms are effective as of 22 April 2024.

Your attention is particularly drawn to Clause 2 (Eligibility) and Clause 20 (Limitation of liability).

If, for any reason whatsoever, you do not agree to these Terms or do not wish to be bound by them, you must not access or use our websites or engage our Services.

  1. Information about us
    1. Curated Community Ltd. (hereinafter "Curated Community", "we", "our" and "us") operate the Curated Community websites (curated-community.com and app.curated-community.com).
    2. We are registered in England and Wales under company number 14754542 with our registered office at 73 Cadogan Garden, London, SW3 2RB United Kingdom.

  2. Eligibility
    1. Creating an account on our websites, you represent and warrant that you:
      1. are 18 or older;
      2. have the authority to and are of legal age in your jurisdiction to bind yourself to these Terms and form a binding contract with Curated Community;
      3. will not use a false identity or provide false information when using our Services and all information provided will be true, accurate, current and complete;
      4. will not use another user's account without permission;
      5. will keep any account information we provide you with (such as a user name, identification number, account code and/or password) confidential and secret and not disclose it to anyone;
      6. will immediately change your password and/or notify by us by email at team@curated-community.com if you know or suspect that the confidentiality of your login information has been compromised;
      7. are solely responsible and liable for all uses of, and activities occurring under your credentials and account on our websites and for all uses of our websites resulting from access provided by you, directly or indirectly, whether such access or use is permitted by or in violation of these Terms; and
      8. will only use our Services in a way compliant with local, national and international laws, rules and regulations and with all other Curated Community policies.
  3. Our policies
    1. We may make changes to these terms from time to time. Every time you wish to use our site, please check these Terms to ensure you understand the terms that apply at that time.
    2. We may update and change our site from time to time to reflect changes to our products, our users' needs and our business priorities. We will try to give you reasonable notice of any major changes.
    3. We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.
    4. In addition to these Terms, your use of our websites is also governed by the following documents:
      1. Our Privacy Policy (available at https://www.curated-community.com), which governs our use of your information. It sets out the types of information we collect, the reasons we collect it, how we use it, where we may pass it on to any third-parties, in what circumstances and for what reasons, and any other relevant information relating to our use and/or processing of your information and your rights in relation to your information
      2. Our Cookies Policy (available at https://www.curated-community.com), which governs our use of cookies and similar technologies on our websites. It sets out the types of cookies we use, the purposes for which we use them, the circumstances in which we may place cookies on your computer, device or browser, and other relevant information relating to cookies, such as how to change your browser preferences and settings to accept or reject cookies.
    5. By accessing and using our websites, you agree to be bound by the terms contained herein and acknowledge that we will process your information in accordance with our Privacy Policy and use cookies and similar technologies in accordance with our Cookies Policy.
  4. Our Services
    1. Matching
      1. Curated Community is a platform which connects like-minded people (hereinafter "Users") based on daily personality quizzes, location and lifestyle preferences. We connect you with the people you should meet but haven't yet on https://curated-community.com.
      2. After you create an account on our platform, you will be invited to complete a quiz. Our algorithm will then suggest five (5) other users, based on compatibility, (hereinafter "Suggested matches"). These users will be available for you to see on the Curated Community map for up to seven (7) days (hereinafter the "Availability period").
      3. A new quiz will be made available to you daily, which will allow you to see five (5) further Suggested matches on the Curated Community map. You will still be able to see the previously Suggested matches unless the Availability period has ended.
    2. Donating
      1. Curated Community is on a mission to foster meaningful connections while supporting charitable causes that our users are passionate about. Our donation process is structured to ensure transparency and maximise the impact of each contribution.
      2. In order to connect with a suggested match, you will first be invited to make a donation. There is no cap on the donation amount and you may choose to support more than one of the local charities listed on our platform.
      3. We intermediate donations between users and charities and keep 30% of each donation to cover essential operational costs, such as payment processing fees, platform maintenance, hosting services, and other necessary expenditures that enable us to provide a seamless experience on our platform.
      4. Once the payment has been authorised and accepted, donations are not refundable.
    3. Events
      1. As a Curated Community user, you will have access to ticketed events organised by us and our partners. Please follow the onscreen prompts to place your order. You may only submit an order using the method set out on our websites.
      2. Once your payment is authorised, we will add you to our internal systems as an attendee. Please note that you may not receive a confirmation email from us, but can use the payment authorisation on your bank statement as a ticket and proof of payment. For certain events, we will send you a unique QR code which will act as your ticket.
      3. Because of the limited number of places available at some of the events, we may be unable to accommodate your order. If that is the case, we will let you know by email and will not process your order. If you have already paid for a ticket, we will refund you the full amount paid.
      4. Please note that tickets for events are non-transferable and may not be shared or exchanged amongst users.
      5. Please also note that your attendance at Curated Community events may be restricted at our absolute discretion where, for example, you show disrespect towards other attendees and/or otherwise affect others' enjoyment of our Services.
  5. Payments
    1. Prices for events are as quoted on our websites.
    2. We take all reasonable care to ensure that prices are correct at the time when the relevant information is entered onto our systems, but we may sometimes need to adjust these. When this happens, we will inform you by e-mail and/or refund any sums you have paid in accordance with our refunds policy.
    3. We use Stripe, a third-party payment processor, to handle our online transactions. By making a purchase through our websites, you agree to Stripe's Terms of Service.
    4. If the issuer of your payment card refuses to authorise payment to Curated Community, we will not be liable for any delay or payment failure.
    5. In making a payment on our websites, the user represents and warrants that they have the legal right to use the relevant payment method(s).
    6. All fees are payable in UK GBP (£).
    7. We take reasonable care to make our websites secure. All credit and debit card transactions are processed using a secure online payment gateway that encrypts your card details in a secure host environment.
    8. We also take reasonable care to keep the details of your order and payment secure, but in the absence of negligence, we cannot be held liable for any loss you may suffer if a third party procures unauthorised access to any data you provide when accessing or ordering from our websites.
    9. By making donations and matches through the Curated Community platform, users are rewarded with Curated Community tokens (hereinafter "Tokens").
    10. Tokens cannot be used for any off-platform purchases. You can only use the Tokens towards discounts and as part of promotions at some of the events organised by us or our partners.
  6. Cancellations and refunds
    1. Users have the right to change their mind about a purchase for a Curated Community event up to 24 hours before the event, after which time, the ticket will become non-refundable.
    2. If the purchase was made using Tokens, we will refund the Tokens even if the refund was requested less than 24 hours prior to the event taking place.
    3. To cancel your ticket, please email us at team@curated-community.com. Users are asked to get in touch with us as soon as is reasonably practicable.
    4. A refund will be issued within 14 days of us receiving your cancellation email. We refund users by the method they have used for payment. We do not charge a fee for the refund.
    5. Please note that this cancellation and refund right does not apply to donations to charities which, as stated above, are non-refundable.
  7. How we may use your personal information
    1. We will use any personal information you provide to us to:
      1. provide the Services;
      2. process your payment for the Services; and
      3. inform you about similar products or services that we provide, but you may stop receiving these at any time by contacting us.
    2. We will process your personal information in accordance with our Privacy Policy, some terms of which are incorporated into this contract.
  8. Events outside our control
    1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under the contract that is caused by any act or event beyond our reasonable control (Event Outside Our Control ).
    2. If an Event Outside Our Control takes place that affects the performance of our obligations under the contract:
      1. we will contact you as soon as reasonably possible to notify you; and
      2. our obligations under the contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. We will arrange a new date for performance of the Services with you after the Event Outside Our Control is over.
    3. You may cancel the contract affected by an Event Outside Our Control. To cancel please contact us at team@curated-community.com. If you opt to cancel we will refund the price you have paid, less the charges reasonably and actually incurred by us in performing the Services up to the date of the occurrence of the Event Outside Our Control.
  9. Objectionable Content Clause

    The user agrees not to post, share, or disseminate any content that is deemed objectionable by Curated Community Limited. Objectionable content includes, but is not limited to:

    1. Defamatory Commentary and Hate Speech:
      • Any statements or materials that defame, libel, or slander any individual or group.
      • Hate speech or derogatory remarks based on religion, gender, race, ethnicity, nationality, sexual orientation, disability, or any other targeted group.
    2. Sexually Explicit Material:
      • Any content that is overly sexual in nature, including but not limited to pornography, explicit sexual acts, or other materials intended to cause sexual arousal.
    3. Violence and Incitement:
      • Content that depicts extreme violence or promotes, incites, or glorifies acts of violence against individuals, groups, or animals.
    4. Bullying and Harassment:
      • Any form of bullying, harassment, intimidation, or threats against any person or group, whether through direct communications or the spreading of malicious rumors or information.
    5. Illegal Activities:
      • Content that depicts or promotes illegal activities, including but not limited to drug use, drug trafficking, illegal gambling, or any other activity that is against the law.

    The determination of what constitutes objectionable content lies solely within the discretion of Curated Community. Violation of this clause may result in the removal of the content, suspension or termination of the user's account, and/or legal action, as appropriate.

  10. Prohibited uses
    1. You may use our Services only for lawful purposes and in accordance with these Terms and you agree not to use the Services:
      1. in any way that violates any applicable local, national and international laws, rules and regulations;
      2. for the purpose of exploiting, harming, or attempting to exploit or harm minors in to incite or encourage action that is, explicitly or implicitly: illegal, abusive, harassing, threatening, hateful, racist, derogatory, harmful to any reputation, pornographic, indecent, profane, obscene, or otherwise objectionable (including nudity);
      3. to stalk, harass, threaten, or harm any third-party;
      4. to conduct any unsolicited or unauthorised advertising or direct or indirect marketing to anyone by any means, or to otherwise spam, communicate with or market to anyone any goods, services or business not authorised by us;
      5. to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as reasonably determined by us, may harm you or users of the Services, or expose them to liability; and
      6. to submit to us any information which is considered 'sensitive personal information' (i.e information about you or any other person which reveals your or their racial or ethnic origin political opinions, religious or philosophical beliefs, trade union membership or genetic data, biometric data, information which concerns your or their health, sex life or sexual orientation).
    2. Additionally, you agree not to:
      1. use the Services in any manner that could disable, overburden, damage, or impair the websites or interfere with any other party's use of the Services, including their ability to engage in real time activities through the Services;
      2. use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services;
      3. use any manual process to monitor or copy any of the material on the Services or for any other unauthorised purpose without our prior written consent; use any device, software, or routine that interferes with the proper working of the Services; introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
      4. attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services; and
      5. attack the Services via a denial-of-service attack or a distributed denial-of-service attack; and otherwise attempt to interfere with the proper working of the Services.
  11. Links to third-party websites
    1. Links to third-party websites or content may appear on our websites from time to time. We are not responsible for the content of any websites accessible via any such link(s). All such content is outside of our control, and we do not represent or warrant that it is related to us or our websites, suitable or appropriate for use or viewing, lawful or accurate.
    2. We are not responsible for any data-processing activities carried out by any third-party websites which is linked to from our websites, and we disclaim any and all liability in respect of the same.
  12. Links to our websites
    1. You may provide links to our websites on other websites owned by you, only where doing so is in line with these Terms.
    2. Whenever you post a link to our websites on another website, you agree that you will do so in an appropriate manner, and not in any way that could cause any harm whatsoever to our business (including but not limited to where posting the link would be defamatory towards us or would misrepresent our business).
    3. You must not post links to our websites while suggesting any form of partnership and/or business relationship where none exists and, in any event, without having first obtained our prior written consent.
    4. We may withdraw permission to link our websites at any time. Any such withdrawal will be communicated to you in writing and you will be expected to immediately remove any links to our websites.
  13. Effective Date
    1. These Terms shall become effective between you and us as of the date you first accept or agree to these Terms or, if earlier, the date you first access or use the Services (collectively, the “Effective Date”) and shall remain in effect thereafter without expiration or termination.
  14. Changes to these Terms and our policies
    1. We may revise and update these Terms and our Privacy Policy and Cookies Policy from time to time at our sole discretion.
    2. All changes are effective immediately when we post them, and apply to all access to and use of our Services. If required by law, we will provide you with notice of any changes by posting a notice on the websites and/or by posting an updated version of the relevant document with an updated effective date stated at the beginning.
    3. Your continued use of our Services following the posting of revised versions of any of our policies means that you accept and agree to the changes.
    4. You are expected to check this page from time to time, so you are aware of any changes.
  15. Availability of our websites
    1. We make no representations and provide no warranties that:
      1. our websites will be made available at any given time or from any geographical location;
      2. our websites will be available for registration to users with non-UK telephone numbers;
      3. your access to the websites will be continuous or uninterrupted; or
      4. the websites will be accessible or optimised in all circumstances and on all browsers.
    2. We reserve the right to suspend access to all or part of the websites for any reason, including for business or operational reasons, including but not limited to maintenance, improving the appearance or functionality of the websites or to resolve any issues that we become aware of. Whenever reasonably practicable to do so, we will provide you with prior notice of our intention to suspend access to our websites for an extended period of time.
  16. Contract and account termination
    1. We have the right to suspend or terminate our contract with you, your account and your use of any part of our Services, without notice, at any time including, but not limited to where in our reasonable opinion you have failed to comply with any of the provisions of these Terms or our Community Guidelines.
    2. We reserve the right to accept or deny platform registration based on our internal validation and verification processes.
  17. Ownership of material on our website
    1. All trade marks, service marks, trade names, logos, copyright and other intellectual property rights in our websites and its content are either owned by us or licensed to us.
    2. All such rights are protected by intellectual property laws around the world, and all rights are reserved.
    3. Any use of the websites and their contents, other than as specifically authorised herein, is strictly prohibited. Any rights not expressly granted herein are reserved by us.
    4. The trade marks, service marks, trade names, logos and other branding owned by third-parties and used or displayed on or via our websites (collectively "Third Party Marks") may be trademarks of their respective owners, who may or may not endorse or be affiliated with or connected with us.
    5. Except as expressly provided in these Terms, or in terms provided by the owner of a Third Party Mark, nothing in these Terms or on or via our websites should be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any of our or any Third Party Marks that are used or displayed on the websites, without the respective owner's prior written permission, in each instance. All goodwill generated from the use of our trade marks will benefit us exclusively.
  18. User-generated content
    1. Our websites may include information and materials uploaded by other users, including to social media pages, video-sharing websites, and chat rooms. This information and these materials have not been verified or approved by us. The views expressed by other users on our websites do not represent our views or values.
    2. If you become aware of any material that is illegal or you wish to complain about any other content, please contact us immediately at team@curated-community.com.
  19. Indemnification
    1. You agree to defend, indemnify, and hold harmless Curated Community, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to any use of the Services' content, and products other than as expressly authorised in these Terms, your violation of applicable laws, agreements or policies, or your use of any information obtained from the Services.
    2. You will cooperate as fully required by us in the defence of any claim. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, and you will not, in any event, settle any claim without our prior written consent.
  20. No warranty and disclaimer
    1. Your use of the websites, its content, the services, and any services or items obtained through the services is at your own risk. The websites, its content, the services, and any services or items obtained through the services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Neither Curated Community nor any person associated with Curated Community makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the services.
    2. Neither Curated Community nor anyone associated with us represents or warrants that the websites, its content, the services, or any services, information or items obtained through the services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our services, the files or information therefrom, or the server that makes them available are free of viruses or other harmful components, or that the websites, the services, any services, information, content or items obtained through the services will otherwise meet your needs or expectations.
    3. We do not endorse content and specifically disclaim any responsibility or liability to any person or entity for any loss, damage (whether actual, consequential, punitive or otherwise), injury, claim, liability or other cause of action of any kind or character based upon or resulting from any content.
    4. To the fullest extent provided by law, Curated Community hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise.
    5. By accessing or using the websites you represent and warrant that your activities are lawful in every jurisdiction where you access or use the service.
    6. You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of our services remains with you.
  21. Limitation of liability

    YOUR ATTENTION IS PARTICULARLY DRAWN TO THIS CLAUSE.

    1. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
    2. If you are a business user we exclude all implied conditions, warranties, representations or other terms that may apply to our websites or any content on it. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
      1. use of, or inability to use, our website; or
      2. use of or reliance on any content displayed on our websites.
      1. In particular, we will not be liable for:
        1. loss of profits, sales, business, or revenue;
        2. business interruption;
        3. loss of anticipated savings;
        4. loss of business opportunity, goodwill or reputation; or
        5. any indirect or consequential loss or damage.
    3. If you are a consumer user, please note that we only provide our websites for domestic and private use. You agree not to use our websites for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  22. Uploading content to our platform
    1. Whenever you make use of a feature that allows you to upload content to our websites, or to make contact with other users of our websites, you must comply with the content standards set out in our Community Guidelines.
    2. You warrant that any such contribution does comply with those guidelines and you are liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.
    3. Any content you upload to our websites will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of our websites a limited licence to use, store and copy that content and to distribute and make it available to third-parties.
    4. We also have the right to disclose your identity to any third-party who is claiming that any content posted or uploaded by you to our websites constitute a violation of their intellectual property rights or of their right to privacy.
    5. We have the right to remove any posting you make on our websites if, in our opinion, your post does not comply with the content standards set out in these Terms or our Community Guidelines.
    6. If you wish to contact us in relation to content you have uploaded to our websites and that we have taken down, please contact us at team@curated-community.com.
    7. You are solely responsible for securing and backing up your content.
  23. Rights you are giving us to use material you upload

    When you upload or post content to our websites, you grant us a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated content in connection with the service provided by the websites and across different media including to promote the websites or the service forever.

  24. Assignment and transfer
    1. We may assign or transfer our rights and obligations under the contract to another entity but will always notify you in writing or by posting on this webpage if this happens.
    2. You may only assign or transfer your rights or your obligations under the contract to another person if we agree in writing.
  25. Variation

    Any variation of the contract only has effect if it is in writing and signed by you and us (or our respective authorised representatives).

  26. Waiver

    If we do not insist that you perform any of your obligations under the contract, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you or that you do not have to comply with those obligations. If we do waive any rights, we will only do so in writing, and that will not mean that we will automatically waive any right related to any later default by you.

  27. Governing law and dispute resolution
    1. These Terms and any documents they refer to will be construed in accordance with and governed by English law.
    2. For any dispute you have with Curated Community, you agree to first to contact us at team@curated-community.com and to attempt to resolve the dispute with us informally. Our Customer Service Team will do our best to resolve any problems you have with us or our products.
  28. Severability

    If any provision of these Terms is found to be invalid or unenforceable, that provision will be deemed appropriately modified to give effect to the intent of the provision or, if modification is not possible, will be severed from these Terms and will not affect the enforceability of any other provision.

  29. Enforcing our rights

    Failure of Curated Community to enforce any right or provision of these Terms will not prevent us from enforcing such right or provision in the future and will not be deemed to modify these Terms.

  30. Other important terms
    1. This contract is between you and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.
    2. You may only transfer your rights or your obligations under these Terms to another person with our prior written consent.
    3. For the purposes of these Terms, "in writing" will mean by email or by pre-paid post. If you wish to contact us in writing, or if any clause in these Terms requires you to give us notice in writing, you can email us at team@curated-community.com. If we have to contact you or give you notice in writing, we will do so by email or by pre-paid post to the address you provide to us in your order.
